Welcome to 24 HR Safety, LLC. By placing orders, requesting quotes, or using our website, you agree to be bound by these Terms and Conditions. Please read them carefully.

1. Acceptance of Terms

By placing an order, signing an agreement, or using any services provided by 24 HR Safety, LLC ("we," "us," or "our"), you ("Customer," "you," or "your") acknowledge that you have read, understood, and agree to these Terms and Conditions and our Privacy Policy.

These terms apply to all wholesale transactions, orders, and related services. If you do not agree, you must not use our services.

2. Products and Services

24 HR Safety, LLC is a merchant wholesaler of electronic parts and equipment. Our offerings include, but are not limited to:

• Electronic components (connectors, semiconductors, passive components, etc.)
• Safety-related electronic equipment and replacement parts
• Other electronic parts and equipment and related merchandise
• Wholesale pricing, bulk orders, and volume arrangements
• Order fulfillment and shipping

All sales are subject to availability and these terms. We reserve the right to limit quantities and discontinue or change products without notice.

3. Quotes and Pricing

Quotes:

• Quotes are valid for 30 days from issuance unless otherwise stated.
• Quotes are based on information you provide and current availability and pricing.
• Final pricing may change due to market conditions, availability, or order details.
• Acceptance of a quote does not create a binding contract until an order is confirmed in writing.

Pricing:

• Prices are in U.S. dollars unless otherwise specified.
• Wholesale pricing is for qualified business customers.
• Taxes, shipping, and other fees are additional unless expressly included.

4. Orders and Payment

Orders:

• All orders are subject to acceptance by 24 HR Safety, LLC. We may refuse or cancel orders at our discretion.
• Order confirmations will be provided upon acceptance. Minimum order requirements may apply.

Payment:

• Payment terms are as specified in your agreement or invoice (e.g., Net 30, prepay, COD).
• New accounts may be required to prepay or pay on delivery until credit is established.
• Payment is due within the agreed period. Late payment may result in interest charges and suspension of credit or service.
• We accept payment by check, wire transfer, ACH, and credit card (fees may apply).

5. Availability and Substitutions

• Product availability is subject to change. We will use reasonable efforts to fulfill orders as specified but do not guarantee availability.
• If an item is unavailable, we may offer alternatives or substitutions with your approval.
• We may allocate limited stock among customers at our discretion.
• Product specifications, colors, and packaging may vary; we will communicate material changes where practicable.

6. Shipping and Delivery

• Delivery dates are estimates. We are not liable for delays caused by circumstances beyond our control.
• Shipping costs, minimums, and delivery areas are as specified in agreements or at checkout.
• You are responsible for providing accurate shipping addresses and receiving shipments. Risk of loss and title pass as specified in the order or at delivery.
• You must inspect shipments promptly and report damage or shortages within the timeframe we specify (e.g., 48 hours).

7. Returns and Refunds

• Returns are accepted only as stated in our return policy or by prior written agreement.
• Return requests must be made within the specified period and are subject to our approval. Products must be in resalable condition.
• Refunds or credits will be issued in accordance with our return policy. We may refuse returns that do not meet our criteria.

8. Customer Responsibilities

You agree to:

• Provide accurate business and contact information, tax ID where required, and correct shipping details
• Pay amounts due in accordance with payment terms
• Inspect deliveries and report issues within the required timeframe
• Comply with applicable laws regarding resale and use of products

9. Intellectual Property

Product names, trademarks, and branding are the property of their owners. Our website content and materials are protected by copyright and other intellectual property laws. You may not reproduce or use our proprietary materials without written permission.

10. Warranties and Disclaimers

We warrant that products will be delivered in good condition and as described. Product quality is subject to supplier standards. We will address legitimate quality issues in line with our policies.

Except as stated, we disclaim all warranties, express or implied. We are not responsible for your use of products, resale results, or consequential or indirect damages.

11. Limitation of Liability

Our liability is limited to the amount paid for the specific order or transaction in question. We are not liable for indirect, incidental, consequential, or special damages, or for business or profit losses. These limitations apply to the fullest extent permitted by law.

12. Force Majeure

Neither party is liable for delay or failure to perform due to circumstances beyond reasonable control (e.g., natural disasters, pandemics, wars, strikes, government actions, supplier or logistics issues). We will notify you of material force majeure events affecting orders. Affected obligations may be suspended for the duration of the event.

13. Termination

By you: You may stop placing orders or terminate an agreement with written notice. You remain liable for all outstanding orders and payments.

By us: We may suspend or terminate service if you fail to pay, breach material terms, or for other business reasons with written notice where required. Upon termination for cause, all amounts due become immediately payable.

14. Dispute Resolution

Disputes will first be addressed through good-faith negotiation. If that fails, disputes may be resolved by binding mediation or arbitration in accordance with applicable rules. The prevailing party may be awarded reasonable fees and costs. To the extent permitted by law, both parties waive jury trial and class actions.

15. SMS Text Messaging

Opt-in: By opting in to SMS from 24 HR Safety, LLC, you consent to receive transactional and informational messages (e.g., order and shipping updates, account and support messages, and with your consent, marketing).

Frequency and charges: Message frequency depends on your activity and preferences. Standard message and data rates may apply. We do not charge for messages; carrier rates may apply.

Opt-out: Reply "STOP" to opt out. You will receive a confirmation. After opt-out, you will not receive further SMS unless you opt in again. Opting out does not affect other contractual or account communications.

Data: We do not share your phone number or opt-in data with third parties for marketing. SMS data is handled in accordance with our Privacy Policy.

16. Governing Law

These Terms and any agreements are governed by applicable federal and state laws (including the laws of the State of Texas). Legal actions must be brought in the appropriate courts as required by law.

17. Modifications

We may change these Terms at any time. Changes are effective when posted; we will update the "Last Updated" date. Existing orders remain subject to the terms in effect at the time of the order. Your continued use of our services after changes constitutes acceptance of the updated Terms.

18. Severability

If any provision is held unenforceable or invalid, that provision will be limited or removed to the minimum extent necessary, and the rest of these Terms will remain in effect.

19. Entire Agreement

These Terms, together with any written agreements and our Privacy Policy, constitute the entire agreement between you and 24 HR Safety, LLC regarding our electronic parts and equipment wholesale services and supersede prior agreements or understandings.
